PA LLC Formation Guide
The Limited Liability Company (LLC) is the most popular business structure for small businesses in Pennsylvania, offering liability protection with flexible management and tax treatment. Here's a complete guide to forming your PA LLC under the Pennsylvania Uniform Limited Liability Company Act (PULLCA, 15 Pa.C.S. Ch. 89).
Step 1: Choose Your LLC Name
Your name must include 'Limited Liability Company,' 'LLC,' or 'L.L.C.' It must be distinguishable from other entities registered with the PA Department of State. Search the business name database at the PA Department of State website. Consider reserving the name ($70 fee, holds it for 120 days) while you prepare your filing.
Step 2: File the Certificate of Organization
File Form DSCB:15-8821 with the PA Department of State. Required information: LLC name, registered office address in PA, organizer name and address, and whether the LLC is member-managed or manager-managed. Filing fee: $125 online (recommended) or by mail. Processing takes 5–7 business days online, longer by mail.
Step 3: Create an Operating Agreement
While PA does not require an operating agreement, having one is essential. It should cover: ownership percentages, capital contributions, profit/loss allocation, management structure (member-managed or manager-managed), voting rights, procedures for adding/removing members, distribution policies, and dissolution procedures. Without one, PULLCA default rules apply — which may not reflect your intentions.
Step 4: Get Your EIN
Apply for a federal Employer Identification Number (EIN) from the IRS — free, available online at irs.gov. You need this to open a business bank account, hire employees, and file taxes. Apply after your Certificate of Organization is approved.
Step 5: Register for PA Taxes and Licenses
Register with the PA Department of Revenue for applicable taxes (sales tax, employer withholding). If operating under a name different from your LLC name, file a Fictitious Name Registration. Check Allegheny County and Pittsburgh requirements for local business privilege taxes and licenses specific to your industry.
Ongoing Compliance
PA LLCs must file an Annual Report with the Department of State (due by the anniversary of your formation). Fee: $7 (among the lowest in the nation). Maintain a registered office in PA. Keep records of member meetings and major decisions. Maintain separate business bank accounts — commingling personal and business funds can 'pierce the corporate veil' and eliminate your liability protection.
