Entity Types & Services

From formation to ongoing governance, we support every stage of your business entity lifecycle.

LLC Formation

The most popular choice for small businesses. Limited liability protection with flexible management structure and pass-through taxation. We handle Articles of Organization and Operating Agreements.

Corporation (S-Corp / C-Corp)

Formal corporate structure with shares, directors, and officers. Ideal for businesses seeking investment or planning to go public. We prepare Articles of Incorporation and Bylaws.

Partnership Agreements

General and limited partnerships for multi-owner businesses. We draft partnership agreements covering profit sharing, management, dissolution, and liability allocation.

Fictitious Name Registration

Operating under a name different from your legal name? Pennsylvania requires registration. We handle the Fictitious Name Registration (DBA) filing with the PA Department of State.

Corporate Governance

Ongoing compliance—resolutions, meeting minutes, member/shareholder certificates, and annual compliance reviews to keep your entity in good standing.

Entity Conversion

Need to change from a sole proprietorship to an LLC, or an LLC to a corporation? We prepare the conversion documents and filings required under PA law.

Important: PA Business Requirements

Pennsylvania requires all business entities to file with the PA Department of State. LLCs file a Certificate of Organization ($125 filing fee). Corporations file Articles of Incorporation ($125). All entities must maintain a registered office in PA.

Annual reports are required for certain entity types. Operating agreements and bylaws, while not filed with the state, are critical for establishing management structure and liability protection. Without proper governance documents, courts may "pierce the corporate veil."

All documents are drafted and reviewed by a PA licensed attorney.
