Important: PA Business Requirements
Pennsylvania requires all business entities to file with the PA Department of State. LLCs file a Certificate of Organization ($125 filing fee). Corporations file Articles of Incorporation ($125). All entities must maintain a registered office in PA.
Annual reports are required for certain entity types. Operating agreements and bylaws, while not filed with the state, are critical for establishing management structure and liability protection. Without proper governance documents, courts may "pierce the corporate veil."
